Human Resources Committee

The Human Resources Committee assists MOSAID Technologies Incorporated ("MOSAID")'s Board of Directors (the "Board") with its oversight of MOSAID's human resource strategies and is responsible for certain matters relating to compensation.

The Human Resources Committee is made up entirely of independent directors.

Human Resources Committee Mandate

The Human Resources Committee, on behalf of the Board, is responsible for monitoring, reviewing, approving and recommending certain matters related to senior executive compensation and for overseeing MOSAID's human resource strategies. The Human Resources Committee has a written mandate which establishes member qualifications, member appointment and removal, structure and reporting, the role of its Chairman and its purpose and responsibilities. The Human Resources Committee:

  • conducts an annual review of MOSAID's officers' salaries, the general salary structure and employee benefits plans, including the stock option and employee stock purchase plan;
  • reviews incentive bonus arrangements for senior officers;
  • ensures compliance with compensation disclosure requirements and approves the report on executive compensation for the Management Information Circular;
  • reviews the adequacy of director compensation and ensures that it realistically reflects the responsibilities and risk involved in being an effective director; and
  • reviews senior officer performance and succession plans with the Board annually.
